Vendor Agreement

1. Agreement Overview

This Vendor Agreement (“Agreement”) is entered into by and between Digital Udyog Seva, hereinafter referred to as “Company,” and the undersigned vendor, hereinafter referred to as “Vendor.”

2. Terms of Engagement

2.1 Scope of Services: The Vendor agrees to provide the products or services as detailed in the attached Exhibit A, in accordance with the specifications and quality standards defined by Digital Udyog Seva.

2.2 Payment Terms: Payment terms, including rates, invoicing procedures, and payment schedules, are specified in Exhibit B. The Vendor acknowledges and agrees to adhere to these terms.

3. Obligations and Responsibilities

3.1 Quality Assurance: The Vendor is responsible for delivering products or services that meet Digital Udyog Seva’s quality standards. Any deviation must be promptly addressed to ensure customer satisfaction.

3.2 Compliance: The Vendor agrees to comply with all applicable laws, regulations, and industry standards in the provision of products or services.

4. Confidentiality

Both parties agree to keep all confidential information, including but not limited to business strategies, customer data, and proprietary technology, strictly confidential and not to disclose it to any third party without the written consent of the other party.

5. Termination

Either party may terminate this Agreement with written notice in case of a material breach by the other party. Digital Udyog Seva reserves the right to terminate the agreement at its discretion if the Vendor fails to meet quality standards or comply with agreed-upon terms.

6. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of [Jurisdiction]. Any disputes arising out of or related to this Agreement shall be resolved through arbitration in accordance with the rules of the [Arbitration Institution], and the decision of the arbitrator(s) shall be final and binding.

7. Miscellaneous

7.1 Amendments: Any amendments to this Agreement must be in writing and signed by both parties.
